Terms of Agreement
These Terms of Agreements will apply to
all dealings between the parties hereto unless specifically
varied in writing and signed by a principal of the Developer
and a director of the Client respectively

Maintenance Agreement |

Design 4 Web undertakes
to provide or arrange for the provision during the Warranty
Period ("90 days") of support and maintenance of the Website
and of the recommended Website Server and support for all
Bespoke Packages.
Such support is included in the price of
Bespoke packages "Only"
If the Client does not require
the maintenance package during the Warranty period ("90 days")
a charge will occur for any further modifications.
Maintenance Package Options are
as follows:
a) £25.00 per hour
is chargeable for any modifications the Client requires
on a pay per hour basis.
b) £250.00 per annum
if the maintenance package is taken out at the same time
as the Website being published onto the Internet. Updates
will be added to the Clients Website on a Monthly basis.
c) £500.00 per annum,
this maintenance package is directed at Websites that require
frequent updates. Updates will be added to the Clients Website
on a Weekly basis. Also included in this package is the
keyword monitoring feature. We optimise your keywords on
a quarterly basis, when the search engine spiders review
your Website they will pick up the new keyword listing and
refresh their search engine directory, this will put your
web site at a higher ranking.
d) We call this our "Extreme"
package, it has been designed for, and directed towards
Clients who need continuous updates to their Websites on
an hourly or daily basis. The main Clients whom benefit
from this package the Travel Industry, Department Stores
and Information Technology industries, where prices can
change at a moments notice, or new products and services
are added or removed daily. If you are interested in this

The above packages include
updating and making minor changes to a sentence, paragraph
or image. It does not include the reconstruction of new pages,
guestbook's, discussion webs, navigation structure changes,
and attempted updates by Clients.
If the Client's Web design
package includes database access, then very minor code changes
will be accepted under this maintenance plan, major code and/or
database structural changes will be charged at current hourly
rates.
Subject to sections (a),
(b) and (c) above, this Agreement shall be for a minimum period
of 1 year from the date the package is taken out, and shall continue thereafter
until or unless determined by either party giving to the other
not less than 1 months' prior written notice.
Charges
(a) The Supplier shall
pay the Supplier's maintenance charges upon the terms herein
contained.
(b) The Contractor and the Supplier shall annually review
all charges relating to maintenance of the Equipment. The
parties shall commence such review discussions two (2) months
prior to the end of each year following the date of execution
of this Agreement.
In the event that the parties fail to agree such charges by
the end of the said period of two (2) months they shall forthwith
appoint an independent expert by mutual agreement.
The parties shall use their best endeavours to ensure that
any expert shall reach his decision within thirty (30) days
from the date of his appointment. His decision shall be final
and binding on both parties and his costs shall be shared
equally.
(c) Any additional maintenance requirements raised by the
customer at the point of sale shall be agreed between the
parties.
Severability
In the event that any term,
condition or provision contained in this Agreement shall be
determined by any competent authority to be invalid, unlawful
or unenforceable to any extent, the same shall to that extent
be severed from the body of this Agreement and the remainder
of which shall continue to be valid and enforceable to the
fullest extent permitted by law.
